Paramount Clears Major Hurdle in $110bn Warner Bros Takeover

LOS ANGELES, UNITED STATES — WEB DESK: Paramount Skydance has cleared a major legal obstacle to its roughly $110 billion acquisition of Warner Bros Discovery after reaching settlements with a California-led coalition of 12 US states and the Writers Guild of America, paving the way for one of the largest media mergers in history.

The settlement resolves lawsuits that sought to block the combination over concerns that it could reduce competition, affect Hollywood employment and give the combined company greater power over film, television, streaming and news markets. The states’ agreement remains subject to court approval.

Under the settlement, Paramount committed to increasing domestic film production and meeting theatrical-release targets for five years. California Attorney General Rob Bonta said the company will produce 30 films annually during the first two years and 32 films annually during the following three years. At least four releases each year must be independent films, while at least 20% must qualify as blockbusters.

Paramount also committed at least an additional $1.5 billion to domestic film production and agreed to establish a $47.5 million fund for workers affected by the merger, according to California’s Department of Justice.

Failure to meet certain film-output requirements could result in financial penalties. Reuters reported that Paramount could pay $30 million per missed film, with most of that money directed towards worker-support funds.

The agreement also contains safeguards affecting cinemas and television. Paramount agreed not to increase rates charged to theatre operators for three years and accepted restrictions governing cable negotiations intended to protect competition and consumer pricing.

A particularly significant provision concerns the combined company’s news operations. Paramount agreed to establish an editorial independence board covering CBS and CNN, two major US news organisations that would come under the same corporate umbrella following the transaction.

The Writers Guild of America also settled its parallel lawsuit but maintained its opposition to the transaction. The union has argued that greater industry consolidation could reduce employment, weaken writers’ bargaining power and worsen working conditions.

The merger has faced criticism from opponents who argue that combining Paramount and Warner Bros Discovery would concentrate too much influence across Hollywood. The states originally sued in July, alleging that the transaction could reduce output and raise prices. Paramount has argued that the combination will strengthen competition and provide consumers with greater choice.

The deal would combine major entertainment and media assets, including the Paramount and Warner Bros film studios, streaming services Paramount+ and HBO Max, and television news operations including CBS and CNN.

Paramount has previously said the combination could generate around $6 billion in savings, including cost reductions likely to affect jobs across Hollywood and the companies’ news operations. The combined business is expected to carry approximately $80 billion in debt.

Regulators in several other jurisdictions, including the European Union and United Kingdom, had already cleared the transaction. The settlement also reduces pressure on Paramount to complete the acquisition before September 30, after which it could otherwise face a $7 million-per-day fee for delays.

The latest settlements therefore remove a major obstacle to the transaction, although the state settlement still requires court approval before the legal dispute is fully resolved.
